Echo 8 Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the “Terms”) govern access to and use of the Echo 8 safety training and certification platform, consisting of a mobile application used by trainees in the field (“Mobile App”) and a web-based administration portal used by client organizations to manage training programs (“Portal”) (collectively, the “Service”). The Service is operated by Echo 8 (“Echo 8,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.

1. The Service

Echo 8 is a business-to-business platform. Our direct customers are organizations (“Client Organizations”) that use Echo 8 to deliver safety training, record results, and manage certifications for their workforce, contractors, or members. Individuals who complete training through the Mobile App (“Students”) typically do so at the direction of a Client Organization. The commercial relationship between Echo 8 and a Client Organization (including fees and service scope) may be further governed by a separate written agreement; where such an agreement conflicts with these Terms, the separate agreement controls for that Client Organization.

2. License

Subject to these Terms, Echo 8 grants you a limited, non-exclusive, non-transferable, revocable license to use the Mobile App and Portal for their intended purpose: completing and administering safety training. This license does not permit you to:

  • copy, modify, distribute, sell, lease, or sublicense any part of the Service;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by applicable law;
  • remove or alter any proprietary notices, or use Echo 8 branding without written permission;
  • use the Service to build a competing product or for any purpose other than its intended use.

All rights not expressly granted are reserved by Echo 8 and its licensors. The Service is licensed, not sold.

3. Accounts and Access

Portal administrators must create an account and are responsible for maintaining the confidentiality of their credentials and for all activity under their account. You must notify us promptly of any suspected unauthorized use. Students use the Mobile App without a persistent personal account; they enter their name per training session so results can be recorded, as described in our Privacy Policy.

4. Acceptable Use

You agree not to:

  • submit false information to the Service, including completing a training session or assessment on behalf of another person, or falsifying training results or certifications;
  • interfere with or disrupt the Service, probe or test its security without written authorization, or access data belonging to another Client Organization;
  • use the Service in violation of applicable law or regulation;
  • upload content that is unlawful, infringing, or that you do not have the right to use.

5. Training Content and Records

Client Organizations control the training programs they deploy and how they use training results (e.g., for employment, site-access, certification, or compliance decisions). Echo 8 provides the technical platform for delivering training and recording results; it does not certify regulatory compliance of any training program, and completion records generated through the Service do not by themselves constitute a government-issued license or qualification. Client Organizations are responsible for ensuring their training programs and record-keeping meet the legal and industry requirements applicable to them.

6. Third-Party Services

The Service may integrate with third-party services at a Client Organization’s direction — for example, accounting integrations such as Intuit QuickBooks Online for invoicing, and infrastructure providers used to host the Service. Your use of a third-party service is governed by that provider’s own terms and privacy policy, and Echo 8 is not responsible for third-party services. A Client Organization may disconnect an integration at any time from the Portal.

7. Privacy

Our collection and use of information through the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. SMS Terms

Program. Echo 8 Safety training notifications. When you or your training organization ask for it, Echo 8 Safety sends a text message to the mobile number on your training record with a link to your training certification card or a related notice about your training.

Consent. You opt in by giving your mobile number to Echo 8 Safety or your instructor when you sign in to a class, where the notice about these texts is shown next to the phone number field. You can opt out at any time as described below.

Frequency and cost. Message frequency varies; most people receive a message only when a card is issued or renewed. Message and data rates may apply.

Carriers are not liable for delayed or undelivered messages. How we handle your mobile number is described in our Privacy Policy.

9. Intellectual Property

The Service, including its software, design, and documentation, is owned by Echo 8 and its licensors and is protected by intellectual-property laws. Training content, company data, and records entered into the Service by or on behalf of a Client Organization remain the property of that Client Organization; the Client Organization grants Echo 8 a license to host and process that content solely to provide the Service.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHO 8 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TRAINING PROGRAM DELIVERED THROUGH THE SERVICE SATISFIES ANY PARTICULAR REGULATORY REQUIREMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHO 8 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHO 8’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS PAID TO ECHO 8 FOR THE SERVICE DURING THAT PERIOD, OR ONE HUNDRED U.S. DOLLARS IF NO SUCH AMOUNTS WERE PAID. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access to the Service (or any part of it) if you materially breach these Terms, if required by law, or if continued provision would create a security risk, with notice where practicable. Upon termination, the licenses granted in these Terms end; provisions that by their nature should survive (including Sections 8–10) will survive. Client Organizations may request export of their training records as described in the Privacy Policy.

13. Changes to the Service or Terms

We may modify the Service over time, and we may update these Terms to reflect changes in the Service, our practices, or applicable law. We will post updated Terms with a revised “Last Updated” date, and material changes will be communicated to Portal administrators via email or an in-Portal notice where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which the Client Organization’s separate written agreement with Echo 8 specifies or, absent such an agreement, the state in which Echo 8’s operator is established, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of competent jurisdiction in that state.
